Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the CardNova mobile application, website, and services (the "Service") operated by CardNova Technology LLC ("us," "we," or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

1. Acceptance of Terms

CardNova provides a platform that allows users to trade, sell, and exchange gift cards. Our Service includes:

• Gift card verification and validation
• Payment processing for gift card transactions
• User account management
• Customer support services
• Mobile applications for iOS and Android

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information when creating an account
• Comply with all applicable laws and regulations
• Not be located in a jurisdiction where our Service is prohibited

By using our Service, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

4.1 Account Creation

5. Gift Card Transactions

5.1 Gift Card Requirements

Gift cards submitted for trading must:

• Be valid and unused
• Have a verifiable balance
• Not be obtained through fraudulent means
• Comply with the terms and conditions of the original issuer

5.2 Verification Process

We reserve the right to verify the validity and balance of any gift card before processing a transaction. Verification may take up to 24 hours. We are not obligated to accept any gift card that fails verification.

5.3 Payment Terms

Payment for accepted gift cards will be processed according to the payment method you select. Processing times may vary. We reserve the right to hold payments for additional verification if we suspect fraudulent activity.

5.4 Rates and Fees

Exchange rates and fees are determined by us and may vary based on the type of gift card, market conditions, and other factors. Rates are subject to change without notice. The final rate will be confirmed before you complete a transaction.

6. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Submit fraudulent, stolen, or invalid gift cards
• Attempt to hack, breach, or circumvent any security measures
• Use automated systems to access the Service without authorization
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest information about other users
• Transmit viruses, malware, or other harmful code
• Engage in money laundering or other financial crimes
• Violate any third-party rights, including intellectual property rights

7. Intellectual Property

The Service and its original content, features, and functionality are owned by CardNova Technology LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

8. Payment and Refunds

8.1 Payment Processing

Payments are processed through third-party payment processors. By using our Service, you agree to the terms and conditions of our payment processors. We are not responsible for any issues arising from payment processing.

8.2 Refunds

Refund policies are detailed in our separate Refund Policy. Generally, refunds are not available for completed transactions unless required by law or in cases of our error.

8.3 Chargebacks

If you initiate a chargeback or dispute a payment, we reserve the right to suspend or terminate your account and take legal action to recover any losses.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CARDNOVA TECHNOLOGY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless CardNova Technology LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right
• Your submission of fraudulent or invalid gift cards

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Denver, Colorado.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations when using our Service, including but not limited to:

• Anti-money laundering (AML) laws
• Know-your-customer (KYC) requirements
• Tax laws and reporting requirements
• Consumer protection laws
• Data protection and privacy laws

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and CardNova Technology LLC regarding the Service and supersede all prior agreements and understandings.
